In December 2020, Kaskela Law LLC filed a stockholder complaint on behalf of former AVX Corporation (“AVX”) stockholders following Kyocera Corporation’s (“Kyocera”) March 2020 acquisition of AVX for $21.75 per share in cash. In re AVX Corp. Stockholders Litig., Consol. C.A. No. 2020-1046-SG (Del. Ch.).
Among other things, the complaint challenged the “opportunistic squeeze out of AVX’s minority public stockholders by the Company’s controlling stockholder [Kyocera] at an unfair price,” and sought to recover additional compensation for the former stockholders of AVX whose shares were acquired by Kyocera.
In December 2022, the Court approved of a proposed settlement of the action for $49.9 million.
