Kaskela Law LLC is investigating Quantum Computing Inc. (NASDAQ: QUBT) (“Quantum”) on behalf of the company’s long-term shareholders.

Recently a securities fraud complaint was filed against Quantum on behalf of certain investors who purchased shares of the company’s stock between March 30, 2020 and January 15, 2025.  According to the complaint, during that time period Quantum and certain of the company’s senior executive officers made a series of materially false and/or misleading statements to investors regarding Quantum’s business, operations, and prospects.  Among other things, the defendants are alleged to have made false and/or misleading statements about (i) the capabilities of Quantum’s quantum computing technologies, products, and/or services; (ii) the scope and nature of Quantum’s relationship with NASA, as well as the scope and nature of Quantum’s NASA-related contracts and/or subcontracts; and (iii) Quantum’s progress in developing a thin film lithium niobate (“TFLN”) quantum computing chip foundry, the scale of the purported TFLN foundry, and orders for the Company’s TFLN chips.

The complaint further details how, on January 16, 2025, Capybara Research published a report alleging, inter alia, that Quantum had overstated its ties to NASA and fabricated revenues through multiple related-party transactions.  Following this report, shares of Quantum’s stock price fell $1.72 per share, or nearly 15% in value, to close at $9.83 per share on January 17, 2025.

The investigation seeks to determine whether the members of Quantum’s board of directors violated the securities laws and/or breached their fiduciary duties in connection with the above alleged misconduct.
