FAT Brands, Inc.

In June 2021, Kaskela Law filed a stockholder derivative complaint on behalf of FAT Brands Inc. and the company’s stockholders against the members of FAT Brands’ board of directors. Harris v. Junger, et al., C.A. 2021-0511-VCG (Del. Ch.).

Among other things, the complaint alleged that FAT Brands’ directors breached their fiduciary duties in connection with a December 2020 merger of FAT Brands and Fog Cutter Capital Group, Inc. (“FCCG”), an entity controlled by FAT Brands’ controlling stockholder, Andrew Wiederhorn.

On February 11, 2022, the Court denied defendants’ motions to dismiss the complaint, paving the way for litigation to proceed into the current discovery phase.
